1.2 You may not use the Services if:

• You are legally prohibited from doing so under the laws of your jurisdiction; or
• You have previously been suspended or banned by Loana.

1.3 If your jurisdiction imposes additional restrictions related to sports betting, gaming, or skill contests (including higher minimum ages), you are solely responsible for complying with those laws.

2.1 GameLens

GameLens provides AI-powered analytics, models, simulations, and related digital tools that estimate probabilities, "fair odds," and other metrics for sports events. These outputs are for information, research, and entertainment purposes only and do not constitute guarantees, financial advice, investment advice, or betting recommendations.

2.2 EdgeBook

EdgeBook provides a social marketplace where users can:

• Post sports-related opinions, analysis, and predictions ("Picks");
• Follow and interact with other users;
• Buy and sell access to Picks and related digital assets (per-pick, bundles, or subscriptions);
• Participate in contests and games (e.g., weekly pick'em, tournaments, brackets), which may be free or have entry fees where legally permitted.

All such content is digital information only. EdgeBook does not accept bets or wagers, does not hold betting funds, and does not operate as a sportsbook.

2.3 Changes to Services

Loana may add, modify, or remove features and Services at any time, including free and paid features, without prior notice, subject to applicable law.

3.1 No Wagers

Loana is not a sportsbook, casino, lottery, or gambling platform. We:

• Do not accept, process, or settle real-money bets or wagers;
• Do not provide odds or lines for the purpose of accepting wagers;
• Provide digital analytics, content, tools, and marketplace functionality only.

3.2 No Advice or Guarantees

Any information, picks, probabilities, or suggestions provided through GameLens, EdgeBook, or by users:

• Are not guarantees of outcomes;
• Are not financial, investment, or betting advice;
• Should not be used as a substitute for your own judgment or advice from qualified professionals.

3.3 User Responsibility

You are solely responsible for:

• Any decisions to place bets with third-party sportsbooks or platforms;
• The amount of money you choose to risk elsewhere;
• Ensuring that all betting or gaming activity you engage in complies with the laws and regulations of your jurisdiction.

Loana is not liable for any wins, losses, or damages arising from your decisions.

4.1 To use certain features, you must create an account and provide accurate, complete information.

4.2 You are responsible for:

• Maintaining the confidentiality of your login credentials;
• All activities that occur under your account.

4.3 You agree to notify us promptly at [email protected] of any unauthorized use or suspected breach of security.

5.1 User Content

On EdgeBook, you may post content including Picks, analysis, comments, and other materials ("User Content").

You retain ownership of your User Content, but by posting it, you grant Loana a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, host, store, reproduce, modify, distribute, display, and perform your User Content in connection with operating, improving, and promoting the Services.

5.2 Digital Assets & Marketplace

Creators on EdgeBook may offer access to their Picks and related digital content through:

• Per-pick purchases or unlocks;
• Subscription plans;
• Tips or other digital transactions.

These are sales of digital assets and access, not wagers or financial instruments.

5.3 No Endorsement

Loana does not endorse and is not responsible for:

• The accuracy, completeness, or performance of any Picks or User Content;
• Any creator's historic record, ROI, or future results.

Performance metrics (e.g., wins, losses, ROI, streaks, "units") are based on standardized models and historical data recorded on EdgeBook and may not reflect actual betting results or future performance.

5.4 Prohibited Content

You may not post User Content that:

• Is illegal, defamatory, hateful, harassing, or abusive;
• Promotes violence, self-harm, or discrimination;
• Infringes intellectual property or privacy rights;
• Discloses personal or confidential information without consent;
• Encourages underage or illegal gambling or any other illegal activity.

Loana may remove or moderate content, suspend users, or take other actions at its discretion.

6.1 The Services may offer Contests (e.g., weekly pick'em games, tournaments, brackets), including:

• Public contests run by Loana; and
• Private or group contests created by users.

6.2 Contests may be:

• Free; or
• Paid, with entry fees and prize pools, in jurisdictions where such contests are legally permitted.

6.3 Contests use standardized scoring models (e.g., 1-unit virtual stakes, ROI, and composite scores) as described in the specific Contest Rules. These contests involve competition over prediction performance and digital metrics, not direct betting against Loana.

6.4 You are solely responsible for ensuring your participation in any Contest is legal where you reside.

7.1 You may purchase:

• Subscriptions or usage for GameLens AI tools;
• EdgeBook subscriptions, Picks, digital content, and contest entries.

7.2 Payments are processed by third-party payment providers. Loana does not store full payment card numbers.

7.3 Loana may charge:

• Subscription fees (recurring or usage-based);
• Platform fees or commissions on digital asset sales and tips;
• Contest entry fees where applicable.

7.4 Refunds are governed by the Billing & Refund Policy. Generally, digital content sales are final, and subscriptions are not refunded once the billing period has begun.

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws;
• Use bots, scrapers, or automated systems to extract or misuse data;
• Reverse engineer or attempt to access underlying source code or models, except where explicitly allowed;
• Attempt to breach or circumvent security or access controls;
• Interfere with or disrupt the Services or other users' experience;
• Misrepresent your identity or affiliation.

Loana may suspend or terminate your access for violations.

9.1 The Services (including all software, GameLens models, designs, logos, and other content, excluding User Content) are owned by Loana or its licensors and are protected by intellectual property laws.

9.2 Subject to these Terms, you are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes (or as otherwise permitted in a separate agreement). You may not copy, modify, distribute, or create derivative works without written permission.

10.1 The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

10.2 Without limiting the above:

• We do not warrant that any predictions, probabilities, or analytics are correct or will result in profit;
• We do not guarantee uninterrupted or error-free operation of the Services.

10.3 To the maximum extent permitted by law, Loana and its officers, directors, employees, and agents are not liable for:

• Any indirect, incidental, special, consequential, or punitive damages;
• Any loss of profits, revenue, data, or goodwill;
• Any decisions you make based on information from the Services, including betting-related decisions with third parties.

10.4 In any event, Loana's total aggregate liability for all claims arising from or related to the Services shall not exceed the total amount you paid to Loana for the Services in the twelve (12) months immediately preceding the claim.

You agree to indemnify and hold harmless Loana, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Services;
• Your User Content;
• Your violation of these Terms or any applicable law.

We may modify the Services and these Terms from time to time. When we do, we will update the "Last updated" date and, where required, provide notice (e.g., via the Services or by email).

Your continued use of the Services following any changes constitutes your acceptance of the updated Terms.

These Terms and your use of the Services are governed by the laws of the State of Washington, USA, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state or federal courts located in or serving Snoqualmie, Washington, unless otherwise required by applicable law.
